Terms of Service

Please read these Terms carefully before using the codezilla platform. By using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the codezilla platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Workcoholic Studio LLC, operating as codezilla ("we", "us", or "our"). By creating an account or otherwise using our Service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

2. Description of Service

codezilla is an AI-powered interview preparation platform. The Service includes, without limitation:

  • Access to 38 algorithm, system design, and behavioral patterns via the learning loop (Intro, Explain, Practice, Test, Review)
  • Socratic explain sessions with an AI interview prep system that scores understanding across accuracy, depth, and signal dimensions
  • In-app code editor with AI-generated hints and code review on submission
  • 24-hour spaced recall verification tests
  • Real-time readiness score tracking across Technical, Behavioral, and System Design pillars
  • Readiness history and practice session records
  • Insurance Mode subscription plan at $29/mo

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.

3. Eligibility

You must meet all of the following criteria to use the Service:

  • You are at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher).
  • You have the legal capacity to enter into a binding contract in your jurisdiction.
  • You are not prohibited from using the Service under any applicable law or regulation.
  • You have not been previously suspended or removed from the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and your agreement to these Terms will be treated as the organization's agreement.

4. User Accounts

To access most features of the Service, you must create an account. When creating and maintaining your account, you agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain and promptly update your account information to keep it accurate and complete.
  • Keep your password confidential and not share it with any third party. You are responsible for all activity that occurs under your account.
  • Notify us immediately at legal@codezilla.ai if you suspect any unauthorized use of your account or breach of security.
  • Not create multiple accounts, impersonate any person or entity, or use a false identity.

We reserve the right to suspend or terminate any account that we reasonably believe violates these Terms or that has been inactive for an extended period.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any manner that violates applicable local, national, or international law or regulation.
  • Transmit, upload, or distribute any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
  • Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of any component of the Service.
  • Use automated means (bots, scrapers, crawlers) to access, collect, or interact with the Service without our prior written consent.
  • Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
  • Attempt to gain unauthorized access to the Service, its related systems, or networks.
  • Misrepresent the nature of AI-generated interview prep content, test feedback, or code review as advice from a licensed professional or as a guarantee of interview outcomes.
  • Sublicense, sell, resell, transfer, or otherwise commercially exploit the Service without our express written consent.

6. AI-Generated Content and Coaching Disclaimer

The Service uses artificial intelligence to generate interview prep content. You acknowledge and agree that:

  • AI-generated content on the platform includes test questions, Socratic chat responses, code review feedback, and readiness scoring. This content is generated for interview preparation purposes only.
  • The AI interview prep system is not a licensed career counselor, interview coach, or professional advisor of any kind.
  • AI-generated test questions and code review feedback may be inaccurate, incomplete, or not optimally calibrated for your specific target role or company. You are solely responsible for evaluating and acting on any content provided through the Service.
  • A readiness score of 85%+ does not guarantee a job offer. Interview outcomes depend on many factors outside this platform, including the specific company, role, and interview process.
  • We do not guarantee the accuracy, reliability, or completeness of any AI-generated content.

7. User-Submitted Content

The Service allows you to submit content, including test responses, practice submissions, profile information, and messages ("User Content"). You retain ownership of your User Content. By submitting User Content to the Service, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, store, process, and display such User Content solely for the purpose of operating and improving the Service.

You represent and warrant that:

  • You own or have sufficient rights to submit the User Content.
  • Your User Content does not infringe any third-party intellectual property rights.
  • Your User Content does not contain personal data of third parties without their consent.

We may use aggregated, de-identified User Content to train and improve our AI models. We will not use your personally identifiable information to train AI models without your explicit consent.

8. Intellectual Property

The Service and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by codezilla, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes in accordance with these Terms. This license does not include the right to:

  • Reproduce, modify, distribute, or create derivative works of the Service.
  • Remove, alter, or obscure any proprietary notices (including copyright and trademark notices).
  • Use the Service for any commercial purpose without our written consent.

All trademarks, service marks, and trade names displayed on the Service are proprietary tocodezilla or their respective owners. Nothing in these Terms grants you a license to use any trademark.

9. Payment Terms

codezilla offers an Insurance Mode subscription at $29 per month, billed on a recurring monthly basis.

  • All pricing, billing cycles, and payment terms are disclosed clearly prior to any charge being incurred.
  • Subscription fees are billed in advance at the start of each billing period.
  • You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. Access to the Service continues through the end of the paid period.
  • No pro-rata refunds are issued for partial months following cancellation.
  • You authorize us to charge the payment method on file for all applicable fees.

We reserve the right to change pricing with reasonable advance notice. Existing subscribers will be notified before any price change takes effect.

10. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy. Please review the Privacy Policy carefully before using the Service.

11. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that (a) the Service will be uninterrupted, error-free, or secure; (b) any defects will be corrected; (c) the Service or the server that makes it available are free of viruses or other harmful components; or (d) results obtained from use of the Service will be accurate or reliable.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CODEZILLA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

Our total aggregate liability to you for all claims arising out of or relating to the Service shall not exceed the greater of (a) the total fees paid by you to us in the twelve-month period immediately preceding the event giving rise to the claim, or (b) one hundred US dollars (USD $100).

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless codezilla and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms.
  • Your User Content.
  • Your use of the Service or any actions taken in connection therewith.
  • Your violation of any third-party right, including any intellectual property right.
  • Your violation of any applicable law or regulation.

13. Termination

We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including if we reasonably believe you have violated these Terms, with or without prior notice.

You may terminate your account at any time by contacting us at legal@codezilla.ai or through the account settings within the Service.

Upon termination: (a) your license to use the Service will immediately terminate; (b) we may, but are not obligated to, delete your account data; and (c) provisions that by their nature should survive termination (including, without limitation, ownership provisions, disclaimers, indemnification, and limitations of liability) shall survive.

14. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Informal Resolution: Before initiating formal proceedings, you agree to first attempt to resolve any dispute by contacting us at legal@codezilla.ai. We will attempt to resolve the dispute informally within 30 days.

Binding Arbitration: If informal resolution fails, you and codezilla agree to resolve any disputes through binding individual arbitration under the rules of the American Arbitration Association ("AAA"), except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Sending an email to the address associated with your account, and/or
  • Displaying a prominent notice within the Service.

Changes will be effective upon the date stated in the revised Terms. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

16. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and codezilla with respect to the Service.

Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
